Welcome to Zalthar. These Terms and Conditions ("Terms") govern your use of our websites, products, and services, including but not limited to BigBrained (AI-Enabled Flashcards) and SeaSnoke (LLM Router). By accessing or using our services, you agree to be bound by these Terms.

By accessing or using any Zalthar service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. Description of Services

Zalthar provides software-as-a-service (SaaS) products designed to enhance productivity and optimize workflows:

• BigBrained: An AI-enabled flashcard application for efficient learning and knowledge retention.
• SeaSnoke: An intelligent LLM router that optimizes API costs while maintaining quality outputs.

3. Account Registration

To access certain features of our services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Subscription and Payment

Our services are provided on a subscription basis. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide valid payment information
• Authorize recurring charges for subscription renewals
• Review our Refund Policy for cancellation terms

Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected. Prices are subject to change with reasonable notice.

5. Acceptable Use

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to our systems
• Transmit viruses, malware, or harmful code

7. User Content

You retain ownership of any content you create or upload to our services. By using our services, you grant Zalthar a limited license to process, store, and display your content solely as necessary to provide the services.

8. Data Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection, use, and processing of your information as described therein.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to our services. We may modify, suspend, or discontinue any part of our services with or without notice. We are not liable for any downtime or service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, Zalthar and its affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Any damages arising from unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from our services

Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Zalthar, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

12. Termination

We may terminate or suspend your account and access to our services at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in India.

14. Changes to Terms

We reserve the right to update these Terms at any time. We will notify users of material changes via email or through our services. Continued use after changes constitutes acceptance of the modified Terms.
